
CELEBRATEME DIGITAL TECHNOLOGY LTD ACCEPTABLE USE POLICY

This Acceptable Use Policy ("Policy," "AUP") is issued by Celebrateme Digital Technology Ltd, a company incorporated under the laws of the Federal Republic of Nigeria ("Celebrateme," "the Company," "we," "us," or "our"), and applies to every individual, entity, or organisation that accesses or uses the Celebrateme platform — including all associated websites, mobile applications, APIs, and digital services (collectively, the "Platform") — in any capacity whatsoever.
This Policy defines the standards of conduct that every User, Vendor, and third-party actor must observe when using the Platform. It is not aspirational guidance — it is a binding contractual obligation, enforceable at law. Celebrateme will not hesitate to exercise the full extent of its legal rights against any party that violates these standards.
This Policy forms part of Celebrateme's Terms of Service and should be read in conjunction therewith. All capitalised terms not defined herein bear the meanings assigned to them in the Terms of Service.
By using the Platform in any manner, you unconditionally agree to comply with this Policy.
1. Definitions
1.1 "User" includes Celebrants, Guests, Vendors, visitors, and any other individual or entity that accesses or uses the Platform.
1.2 "Violation" means any act, omission, attempt, or pattern of behaviour by a User that contravenes any provision of this Policy, the Terms of Service, the Privacy Policy, the Vendor Agreement (where applicable), or applicable Nigerian law.
1.3 "Prohibited Content" means any material — including text, images, video, audio, links, or metadata — that falls within the categories defined in Part III of this Policy.
1.4 "Enforcement Action" means any sanction, restriction, suspension, or legal measure taken by Celebrateme in response to a Violation, as described in Part V of this Policy.
1.5 "Regulated Activity" means any financial service, investment scheme, lending activity, or insurance product the provision of which requires authorisation or licensing under Nigerian law, including the Investments and Securities Act 2007 and the Banks and Other Financial Institutions Act (BOFIA) 2020.
2. Standards of Conduct
2.1 Every User of the Platform is required to conduct themselves with integrity, honesty, and respect at all times. The Platform is designed to facilitate celebration, generosity, and community — conduct that degrades, defrauds, or harms other Users is antithetical to the Platform's purpose and will be treated as such.
2.2 Users must at all times:
(a) provide accurate, truthful, and complete information in all interactions with the Platform, including registration, transactions, and communications;
(b) respect the intellectual property, privacy, and reputational rights of all other Users and third parties;
(c) comply with all applicable laws of the Federal Republic of Nigeria and any other jurisdiction from which they access the Platform;
(d) use the Platform solely for its intended purpose of gift-giving, event hosting, and related community engagement.
3. Fraudulent, Deceptive, and Dishonest Activity
The following conduct is absolutely prohibited:
3.1 Identity Fraud. Creating a false identity, impersonating any natural person (living or deceased), legal entity, government body, or Celebrateme representative; using another person's Account credentials; or registering multiple Accounts to circumvent enforcement actions.
3.2 Transaction Fraud. Manipulating the Platform's gifting mechanism, Token system, or payment infrastructure to obtain financial gain through deceit; facilitating, assisting, or participating in any scheme that involves false or fictitious transactions on the Platform.
3.3 Age Misrepresentation. Providing false information regarding age for the purpose of accessing the Platform in violation of the minimum age requirement of sixteen (16) years.
3.4 Phishing and Social Engineering. Sending messages, creating pages, or operating any mechanism designed to deceive other Users into disclosing their Account credentials, financial information, or personal data.
3.5 Review and Metric Manipulation. Artificially inflating or deflating ratings, reviews, engagement metrics, leaderboard standings, or any other Platform performance indicator through inauthentic means, including the use of bots, coordinated accounts, or incentivised reviews.
4. Financial and Payment Violations
4.1 Money Laundering. Using the Platform to process, layer, or integrate proceeds of any unlawful activity. Celebrateme will report all suspected money laundering activity to the Economic and Financial Crimes Commission (EFCC) and other relevant Nigerian authorities without prior notice.
4.2 Chargeback Abuse. Initiating a chargeback, payment reversal, or disputed charge with a bank or payment provider in respect of a Transaction that was legitimately completed on the Platform, where such dispute lacks valid legal basis. This constitutes both a breach of the Terms of Service and a potential act of fraud.
4.3 Circumvention of Platform Fees. Taking any deliberate action to structure, route, or redirect transactions for the purpose of avoiding Platform Fees or Commission obligations. This includes directing Users to conduct transactions outside the Platform in respect of Listings originated thereon.
4.4 Unauthorised Fundraising or Financial Solicitation. Using the Platform to conduct Regulated Activities, solicit investments, operate Ponzi or pyramid schemes, or raise funds under false pretences.
4.5 Token Exploitation. Exploiting technical errors, pricing anomalies, or platform vulnerabilities to acquire Tokens at below-market rates or in excess of amounts legitimately purchased.
5. Prohibited Content
5.1 Users must not upload, post, transmit, share, or otherwise make available any Content that:
(a) is unlawful, including Content that violates Nigerian criminal law, the Cybercrimes (Prohibition, Prevention, Etc.) Act 2015, or any applicable data protection legislation;
(b) is pornographic, obscene, or sexually explicit, including any Content involving or directed at minors, which shall be treated as a criminal matter and immediately referred to law enforcement;
(c) promotes, glorifies, or facilitates violence, terrorism, hate speech, ethnic incitement, or discrimination on grounds of religion, ethnicity, gender, disability, or any other protected characteristic under Nigerian law;
(d) constitutes defamation, harassment, or intimidation of any individual, including other Users, Vendors, or Celebrateme representatives;
(e) infringes intellectual property rights, including copyright, trademark, design rights, or confidential information, belonging to any third party;
(f) constitutes spam, including unsolicited bulk commercial messages, chain messages, or repetitive identical messages sent to multiple Users;
(g) contains malware, viruses, or malicious code of any nature, or any content designed to disrupt, damage, or gain unauthorised access to any system or device;
(h) is deliberately false or misleading, including disinformation, fake event listings, or fraudulent promotional claims.
6. Platform Integrity Violations
6.1 Users must not:
(a) access or attempt to access any portion of the Platform for which they are not authorised;
(b) use automated scripts, bots, crawlers, or data-scraping tools on the Platform without the express written consent of Celebrateme;
(c) reverse-engineer, decompile, disassemble, or otherwise attempt to extract the source code of any part of the Platform;
(d) probe, test, or scan the Platform for security vulnerabilities without Celebrateme's prior written authorisation;
(e) interfere with or disrupt the Platform's servers, networks, or infrastructure, including through denial-of-service attacks or other disruptive techniques;
(f) introduce, transmit, or activate any malicious code, ransomware, or exploit onto or through the Platform.
7. Account and Registration Violations
7.1 Users must not:
(a) register more than one Account without the express written consent of Celebrateme;
(b) sell, transfer, or assign their Account or Account credentials to any third party;
(c) use an Account that has been suspended or terminated, whether directly or through an associated or substitute account;
(d) register an Account on behalf of a third party without disclosing that fact and obtaining Celebrateme's consent.
8. Reporting Mechanisms
8.1 Celebrateme provides Users with mechanisms to report suspected Violations, including Prohibited Content, fraudulent activity, and account abuse. Reports may be submitted via:
(a) the in-Platform reporting feature available on each user profile, event page, and Listing; or
(b) email to legal@celebrateme.co with the subject line "Violation Report."
8.2 All reports are treated with strict confidentiality. Celebrateme does not guarantee any specific outcome in response to a report, but commits to reviewing all credible submissions in good faith.
8.3 Abuse of the reporting mechanism — including submitting false or bad-faith reports against other Users — is itself a Violation of this Policy and subject to Enforcement Action.
9. Graduated Enforcement
Celebrateme's enforcement of this Policy is guided by principles of proportionality, consistency, and the protection of the Platform and its User community. The Company reserves the right to apply any tier of enforcement — including the most severe — immediately and without progression through lower tiers, where the severity of the Violation warrants it.
Trigger: First-time, minor, or procedural Violations that do not result in demonstrable harm to other Users or the Platform, and where there is a reasonable basis to believe the Violation was unintentional or isolated.
Action:
The User receives a formal written notice identifying the specific Violation, the applicable Policy provision breached, and the corrective action required. The User is given a defined remediation period of 48 hours.
Effect:
A Tier 1 Warning is recorded on the User's Account. A second Tier 1 Warning within any rolling twelve (12) month period shall result in automatic escalation to Tier 2. Content or conduct that gave rise to the Warning may be removed from the Platform immediately.
Trigger: Repeated or more serious Violations; failure to remedy a Tier 1 Warning within the specified period; Violations involving material deception, financial misconduct short of confirmed fraud, or significant harm to other Users.
Action:
The User's Account is suspended. Access to Platform features is restricted or removed. For Vendors, all Listings are delisted and Payout requests are frozen pending the outcome of investigation. The User is notified in writing and given an opportunity to respond within 48 hrs.
Effect:
The suspension shall remain in place for a minimum period of 7 days, or until Celebrateme determines the matter to its satisfaction. During suspension, no Token purchases, Gift transactions, or Withdrawals may be made by the User. Celebrateme reserves the right to extend the suspension period indefinitely where the investigation remains unresolved.
Trigger: Confirmed material breaches; confirmed fraud; patterns of systematic Violations; egregious single-incident violations (e.g., uploading child sexual abuse material, confirmed money laundering); re-registration following a prior permanent ban; refusal to cooperate with a Platform investigation.
Action:
The User's Account is permanently and irrevocably terminated. The User is blacklisted from re-registering on the Platform under any name, identity, device, or associated account. All Content associated with the Account is removed. Any accrued Token balance or Net Proceeds are subject to forfeiture or Clawback in accordance with applicable agreements.
Effect:
Permanent termination is a final determination. Celebrateme will entertain appeals only in cases where compelling new evidence is presented within thirty (30) days of termination notice, and only at the Company's absolute discretion. The burden of proof lies entirely with the terminated party.
Trigger: Violations that constitute criminal offences under Nigerian law; violations resulting in quantifiable financial loss to Celebrateme or its Users; violations that expose the Company to regulatory risk or reputational damage; cases where civil or criminal enforcement is necessary to deter future conduct.
Action:
Celebrateme initiates one or more of the following:
(a) Civil proceedings for breach of contract, fraud, unjust enrichment, defamation, intellectual property infringement, or any other actionable cause of action arising from the Violation;
(b) Criminal complaint and referral to the Nigeria Police Force, Economic and Financial Crimes Commission (EFCC), Independent Corrupt Practices and Other Related Offences Commission (ICPC), or any other competent Nigerian authority;
(c) Regulatory notification to NITDA, FCCPC, the Central Bank of Nigeria (CBN), or other applicable regulators where the Violation has regulatory implications;
(d) Injunctive proceedings before a court of competent jurisdiction to prevent ongoing or threatened harm.
Effect:
The User remains fully liable for all damages, losses, legal costs, and regulatory penalties arising from their Violation. Celebrateme's initiation of legal proceedings is independent of, and does not replace, any Enforcement Action at Tiers 1–3. The Company will seek the maximum available remedy at law or in equity.
10. Appeals Process
10.1 A User who believes an Enforcement Action has been applied in error may submit a written appeal to legal@celebrateme.co within fourteen (14) calendar days of the Enforcement Action notice.
10.2 Appeals must include:
(a) the User's full name, email address, and Account ID;
(b) a clear statement of the grounds for appeal;
(c) any supporting evidence the User wishes Celebrateme to consider.
10.3 Celebrateme shall review the appeal in good faith and provide a written decision within thirty (30) days. The Company's decision on appeal is final in respect of Tier 3 Permanent Terminations.
10.4 Submission of an appeal does not automatically reinstate Account access or lift any suspension during the appeal review period.
11. Amendments
11.1 Celebrateme reserves the right to amend this Policy at any time to address new threats, legal developments, or Platform changes. Updated versions will be published on the Platform with a revised effective date. Continued use of the Platform constitutes acceptance of the amended Policy.
12. No Waiver
12.1 Celebrateme's failure to enforce any provision of this Policy on any occasion shall not constitute a waiver of its right to enforce that provision in the future.
13. Relationship to Other Policies
13.1 This Policy operates alongside and supplements the Terms of Service, Privacy Policy, and Vendor Agreement. In the event of any conflict between this Policy and the Terms of Service, the Terms of Service shall prevail.
14. Governing Law
14.1 This Policy shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
